Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of terranovacp.com (the “Service”). The Service is operated by TerraNova Capital Partners (“TerraNova,” “we,” “us”). It provides research software about debt-capital providers and does not lend. Securities and investment banking services are provided only by TerraNova Capital Equities, Inc. under a separate written engagement. By accessing or using the Service you agree to these Terms; if you do not agree, do not use the Service. You must be at least 18 years old and, if you use the Service for a business, you represent that you are authorized to act for that business.

The Service is a research and information tool: it helps you identify private credit funds, banks, and other capital providers that may fit a debt raise.

The search tool is not a lender, investment adviser, or credit repair service. We do not arrange, negotiate, underwrite, or fund loans through the self-serve search; we do not submit applications on your behalf; and no listing, match score, or search result is a recommendation, endorsement, or assurance that any provider will engage with you or extend credit.

Consultations and full debt process work are offered only under separate written engagement terms and are not a substitute for your own advisors. Securities-related services, if any, are provided separately and solely by TerraNova Capital Equities, Inc. under its own agreements and regulatory obligations, not through self-serve features of this website.

Borrow with caution. Debt financing involves significant risk. Borrowing obligations must be repaid regardless of how your business performs, and may be secured by liens on your assets or personal guarantees. Nothing on the Service is a commitment to lend or to place. Defaulting can result in loss of collateral, legal action, and damage to your business and personal credit. Interest rates, covenants, and other terms vary widely between providers — always read the full loan documentation, compare multiple offers, and consult your own legal, tax, and financial advisors before signing anything. Only borrow what your business can realistically service.

You do not need an account to search the lender list, view fund profiles, or request a consultation. This site has no self-serve sign-up: accounts exist only where a TerraNova Capital Partners banker has set one up, and sign-in accepts only those existing accounts. If you have an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under it. Provide accurate information and keep it current. We may suspend or terminate accounts that violate these Terms (see Section 11).

Nothing is sold through the Service. Any banker engagement is governed by its own separate written agreement with TerraNova Capital Equities, Inc.

You may use information obtained from the Service only for your own bona fide deal-sourcing and financing purposes. You agree NOT to:

• scrape, crawl, harvest, or bulk-extract data from the Service, or circumvent access controls or rate limits;
• resell, license, publish, or redistribute any data obtained from the Service;
• send unlawful communications using contact data obtained here — you are solely responsible for complying with all applicable laws in your outreach, including CAN-SPAM, the TCPA, and any data-protection laws that apply to you (e.g. GDPR if you contact EU-based individuals);
• use the Service to build a competing database or train models on our data;
• misrepresent your identity or your relationship with us or with any listed institution.

The institutions and professionals listed on the Service are compiled from public and licensed business sources. Listing does not imply any affiliation with, sponsorship by, or endorsement of the Service by any listed institution or individual, and does not imply that any listed provider is currently lending or will respond to outreach. Firm names and trademarks belong to their respective owners. If you represent a listed institution or are a listed individual and want your information corrected or removed, email info@terranovacp.com and we will process the request promptly (see our Privacy Policy).

Contact information, fund attributes, check sizes, and match scores are compiled from public and licensed sources and proprietary research and are not verified by the institutions listed. Information may be incomplete, out of date, or inaccurate, and match scores are algorithmic estimates, not assessments of creditworthiness or likelihood of funding. The Service and all data are provided “as is” and “as available,” without warranties of any kind, express or implied, including accuracy, merchantability, or fitness for a particular purpose. You are responsible for independently verifying all information before relying on it.

Nothing on the Service constitutes investment, legal, tax, accounting, or other professional advice, and nothing on the Service is an offer or solicitation to buy or sell any security or to engage in any transaction. Any decisions you make based on the Service are your sole responsibility. Consult your own advisors.

The Service — including its software, design, compiled database, text, and branding — is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted.

We may suspend or terminate your access at any time for violation of these Terms, suspected fraud or abuse, or as required by law. Upon termination your license to use data obtained from the Service ends, except for outreach already lawfully in progress. Sections 3, 6–9, and 12–14 survive termination.

You agree to indemnify and hold harmless TerraNova Capital Partners and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Service, your outreach to any listed contact, your violation of these Terms, or your violation of any law or third-party right.

To the fullest extent permitted by law, TerraNova Capital Partners and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or relating to the Service — including any financing decision, lending relationship, or failed raise. To the extent liability cannot be excluded, our total aggregate liability for all claims will not exceed $100.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute arising out of or relating to the Service or these Terms that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules, seated in New York County, New York. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. Either party may instead bring an individual claim in small-claims court. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing info@terranovacp.com with the subject “Arbitration opt-out.”

We may update these Terms from time to time; the “Last updated” date above will change when we do. Material changes will be reasonably notified (for example, by email or an in-app notice). Continued use after changes take effect constitutes acceptance.
